B2B Company Terms and Conditions
These B2B Company Terms and Conditions govern the rights and obligations of businesses that apply for or use a VIF Transfer corporate account to create transfer bookings for their customers, employees or other passengers.
1. Parties and Scope
These B2B Company Terms and Conditions (“Terms”) govern the use of the VIF Transfer B2B platform and corporate booking services.
By opening or using a B2B account, the Company agrees to these Terms. Booking-specific conditions, prices and information displayed for a particular reservation supplement these general Terms for that booking.
2. Definitions
Company: the business applying for or holding an approved VIF Transfer B2B account.
Authorised User: an employee, manager or representative authorised by the Company to use its B2B account.
Passenger: the person for whom the Company creates a transfer booking.
Booking: a request for transfer services created through the B2B platform or another booking channel approved by VIF Transfer.
Platform: the VIF Transfer website, B2B system, applications and related booking infrastructure.
3. B2B Application and Account Opening
B2B accounts may be made available to businesses, travel agencies, tourism companies, hotels, event organisers and other commercial organisations requiring corporate transfer services.
VIF Transfer may request reasonable verification information including the company name, address, contact details, tax or commercial registration details and authorised representative information.
Submission of an application does not automatically result in account approval. Applications containing incomplete, incorrect or misleading information may be rejected or reviewed again at a later stage.
4. Authorised Users and Account Security
The Company is responsible for ensuring that only properly authorised persons have access to its account and that account information remains current.
- Passwords and login credentials must not be shared with unauthorised third parties.
- Access must be removed when a user's authorisation ends.
- Suspected or unauthorised access must be reported promptly to VIF Transfer.
- The Company is responsible, to the extent permitted by applicable law, for activities carried out by its authorised users.
5. Bookings for Third Parties and Passengers
A principal feature of the B2B platform is the ability for the Company to create bookings for its customers, employees or other passengers.
The Company confirms that it is legally entitled to provide VIF Transfer with the passenger's name, telephone number, email address, flight information, pickup and drop-off addresses and any other information necessary to provide the transfer service.
Where problems arise because of incorrect passenger details, addresses, dates, times, flight numbers or incomplete contact information, responsibility will be allocated according to the circumstances and the fault of the party providing the incorrect information.
6. Provision of Transfer Services
Depending on the location and nature of the booking, VIF Transfer may organise transfer services through its own operational structure or through suitable independent carriers and drivers.
Unless a particular vehicle or specific feature has been expressly guaranteed for a booking, VIF Transfer may provide an equivalent vehicle or service within the appropriate category.
7. B2B Pricing
The applicable B2B price is the price displayed in the B2B platform or in an approved VIF Transfer quotation at the time of booking.
Prices may depend on route, date, time, vehicle category, number of passengers, waiting time, additional stops, optional services, regional costs and other characteristics of the booking.
Changes made after a booking has been created may result in recalculation of the price. Where reasonably possible, the revised charge will be displayed or communicated before the amendment is confirmed.
8. Payment and Invoicing
Available payment methods depend on the features of the Company's account and the relevant booking and will be displayed through the platform.
Deferred payment, credit limits, periodic invoicing or special settlement arrangements apply only to B2B accounts separately approved by VIF Transfer and subject to the conditions agreed between the parties.
The Company is responsible for ensuring that the business, tax and address information supplied for invoicing and payment purposes is accurate and current.
9. Cancellation, Amendments, No-Show and Refunds
Cancellation, amendment, waiting time, no-show and refund conditions depend on the type of booking, service area and the conditions displayed when the booking is created.
If booking-specific conditions differ from these general Terms, the booking-specific conditions will prevail for that booking, subject to mandatory applicable law.
10. Use of B2B Rates and Accounts
B2B rates are provided to enable the Company to make bookings in connection with its commercial activities and on behalf of its customers.
Subject to applicable law and the Company's own agreements with its customers, the Company may determine its own resale price. The commercial relationship between the price charged by the Company and the VIF Transfer B2B price remains the Company's responsibility.
Without prior written permission, the Company may not represent itself as a branch, employee, agent or legally authorised representative of VIF Transfer.
11. Company Obligations
The Company is responsible in particular for:
- Entering accurate and complete booking information,
- Ensuring passengers receive necessary service information in time,
- Authorising and supervising its account users,
- Providing passenger data to VIF Transfer lawfully,
- Ensuring its customer contracts and pricing comply with applicable law,
- Preventing fraudulent, abusive or unauthorised use of the Platform.
12. Prohibited Uses
The following uses are prohibited:
- Creating fraudulent, fictitious or misleading bookings,
- Using stolen or unauthorised payment details,
- Attempting to circumvent Platform security measures,
- Scraping, extracting or copying Platform data through unauthorised automated means,
- Transferring or selling a B2B account to unauthorised third parties,
- Using transfer services for unlawful activities,
- Using the VIF Transfer brand in a misleading or unauthorised manner.
13. Data Protection and Privacy
Personal data relating to Company representatives, authorised users and passengers is processed in accordance with applicable Swiss data protection law and, where applicable, other relevant data protection legislation.
For further information, please read our B2B Privacy Policy.
The Company and VIF Transfer may each act as independent data controllers where they independently determine the purposes and means of processing. If a separate data processing agreement has been entered into, the roles established under that agreement will apply to the relevant processing activities.
14. Intellectual Property
The VIF Transfer name, trademarks, logos, software, designs, Platform functionality, texts and other content belong to their respective rights holders.
A B2B account grants the Company only a limited, non-transferable and revocable right to use the Platform for the purpose of obtaining the services made available through it.
15. Platform Availability and Changes
VIF Transfer takes reasonable measures to maintain the security and availability of the Platform. Temporary interruptions may, however, occur because of maintenance, technical faults, third-party systems, communications infrastructure or circumstances beyond VIF Transfer's reasonable control.
16. Liability
Nothing in these Terms excludes liability that cannot legally be excluded under mandatory law. In particular, liability arising from wilful misconduct or gross negligence will not be excluded where such exclusion is prohibited.
To the extent permitted by law, liability may be limited in relation to losses resulting from incorrect Company or passenger information, actions of third parties, systems or devices controlled by the Company, communications failures outside reasonable control and indirect commercial losses that could not reasonably have been anticipated.
17. Suspension and Termination
A B2B account may be restricted, suspended or terminated in cases involving security risks, suspected fraud, serious or repeated breach of these Terms, unpaid amounts, unauthorised account use, inaccurate company information or unlawful activity.
Termination of an account does not affect payment, confidentiality, data protection or other obligations that arose before termination and are intended to survive termination.
18. Force Majeure
Transfer services may be affected by events including natural disasters, war, terrorism, serious public disturbances, strikes, road closures, severe weather, governmental action, major infrastructure or communications failures and other circumstances outside the reasonable control of the parties.
Where such an event occurs, the affected party will take reasonable measures to minimise its impact where practicable.
19. Changes to These Terms
VIF Transfer may update these Terms to reflect changes in its services, applicable law, technology or commercial systems.
Material changes may be communicated using an appropriate electronic method. Unless otherwise stated, amended Terms apply to future transactions.
20. Governing Law, Jurisdiction, Language and Contact
These B2B Company Terms and Conditions are governed by Swiss law. Unless mandatory law requires otherwise, the place of jurisdiction is Wädenswil, Canton of Zurich, Switzerland.
These Terms may be made available in several languages. In the event of an inconsistency in interpretation and unless mandatory law requires otherwise, the English version shall prevail, followed by the German version and then the Turkish version.
